Terms of Service
These Terms of Service (“Terms”) govern use of Zatio’s software platform and services (“Services”). By subscribing, you (“Operator” or “you”) agree to these Terms.
§ 01Parties
These Terms are between:
- Zatio — operated by Miguel Moreno (sole trader, Spain), transitioning to Almor Ventures Ltd upon incorporation (“we”, “us”)
- The Operator — the business entity named in the Order Form (“you”)
§ 02The Service
Zatio provides:
- An AI-powered conversational agent integrated with WhatsApp Business Platform
- A web-based dashboard for monitoring conversations and managing handover
- Integrations with calendars and CRMs (as specified in your plan)
- Technical support during business hours
§ 03Your obligations
You agree to:
- Provide accurate and up-to-date business information
- Hold valid consent from your end users for WhatsApp communication, where required
- Comply with all applicable laws, including UK GDPR, EU GDPR, Spanish LOPDGDD, and WhatsApp Business Policy
- Not use the Services to send spam, unsolicited marketing, illegal content, or content in violation of Meta’s policies
- Act as Data Controller for end-user conversation data
- Promptly respond to complaints or GDPR requests from your end users
§ 04Our obligations
We agree to:
- Deliver the Services as described in your Order Form
- Act as Data Processor on your behalf under the Data Processing Addendum (DPA)
- Maintain reasonable security measures (see Security)
- Provide support via support@zatio.io during stated business hours
§ 05Fees and payment
- Fees are stated in your Order Form and invoiced monthly in advance
- Meta / WhatsApp message costs are billed by Meta directly to you and are not included in Zatio fees (unless otherwise agreed)
- Late payments incur interest at the Bank of England base rate + 2%
- All fees are exclusive of VAT
§ 06Term and termination
- The Pilot plan is 60 days, cancellable anytime
- The Growth plan is a 12-month commitment, renewing annually unless cancelled 60 days before renewal
- Either party may terminate for material breach with 30 days’ written notice
- On termination, we will export your data within 30 days and then delete it
§ 07Data protection
We process personal data on your behalf as Data Processor, subject to the Data Processing Addendum at /dpa, which forms part of these Terms. You remain the Data Controller for end-user data.
§ 08Intellectual property
- We retain all rights to the Zatio platform and software
- You retain all rights to your data and content
- You grant us a limited licence to process your data as needed to deliver the Services
§ 09Confidentiality
Each party will keep the other’s confidential information confidential and use it only to perform these Terms.
§ 10Liability
- Neither party is liable for indirect, consequential, or lost-profits damages
- Our total liability to you in any 12-month period is capped at the fees you paid us in that period
- Nothing in these Terms limits liability for death, personal injury, fraud, or any other liability that cannot lawfully be excluded
§ 11Service availability
We aim for 99.5% uptime, measured monthly. Scheduled maintenance and third-party outages (Meta, OpenAI, Anthropic, Supabase) are excluded.
§ 12Changes to the Service
We may update features, pricing (on renewal only), and these Terms with 30 days’ notice.
§ 13Governing law
These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the English courts.
Upon incorporation of Almor Ventures Ltd, this clause may be updated to reflect Spanish jurisdiction depending on entity domicile.
